In business law, Scott brings a practical, thorough, and knowledgeable mindset to efficiently handling the legal needs of small to medium-sized businesses throughout Central Virginia. From selecting and forming an appropriate legal entity, such as a limited liability company (LLC) or corporation, to drafting operating and shareholder agreements, and documenting the purchase or sale of assets or stock, Scott can handle the legal needs of your closely held, private business.
Unlike some lawyers, Scott does his best to find creative ways to accomplish his client’s business goals rather than throwing up legal roadblocks. Scott’s prior business experience before attending law school and his extensive business litigation experience allow him to draft enforceable contracts that meet the needs of his clients and provide protection in the event of a later dispute. Examples of such agreements include asset purchase agreements, stock purchase agreements, buy-sell agreements, and covenants not to compete. Scott routinely helps clients with leases, licensing issues, vendor and customer contracts, and he can act as general counsel and registered agent for your business.
Scott also assists clients with financing issues, the collection of business debts, commercial real estate matters, and internal policies and procedures, such as employee handbooks. Scott has particular expertise in franchise law, and he counts numerous franchised businesses as clients.
Occasionally, disputes arise between the shareholders of a corporation or the members of an LLC. Scott also has extensive experience in assisting clients in such matters. Sometimes that means representing the entity, and sometimes it involves representing a particular shareholder or shareholder group. In most such situations, the parties and the business are best served by avoiding messy, public, and risky litigation, and Scott can often suggest creative ways to resolve such disputes outside of court or to position his clients to do well if litigation cannot be avoided.
